Terms of Service

These Terms of Service ("Terms") govern your use of the Lynxbe Platform mobile application (iOS and Android), the Lynxbe web application, and related services (collectively, the "Services") provided by Lynxbe Ltd ("we", "our", or "us").

1. Agreement to Terms

By downloading, installing, accessing, or using the Lynxbe Platform application or any of our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree with any of these terms, you must not use our Services.

2. Services Description

The Lynxbe Platform is a unified business operations platform that provides:

  • Multi-channel business communications (WhatsApp, SMS, Voice, Email)
  • Customer Relationship Management (CRM)
  • Team management and collaboration tools
  • Business analytics and reporting
  • Automation and workflow management
  • AI-powered insights and assistance
  • Appointment booking and scheduling
  • Invoice and payment management
  • HR and workforce management tools

3. Account Registration and Security

3.1 Account Creation

To use the Lynxbe Platform, you must create an account or be invited by a business administrator. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account at security@lynxbe.co.il.

3.3 Business Accounts

Business accounts are managed by designated administrators who control user access, permissions, and configurations within their organization's workspace.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Services to send spam, unsolicited messages, or violate anti-spam laws
  • Send messages that are abusive, threatening, defamatory, or illegal
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the Services or servers
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services to store or transmit malicious code
  • Violate WhatsApp's, Meta's, or any connected platform's terms of service
  • Use automated tools to access the Services without our written permission
  • Use the Services in any manner that could damage, disable, or impair the platform

5. Communication Channel Terms

5.1 WhatsApp Business API

Use of WhatsApp through the Lynxbe Platform is subject to Meta's WhatsApp Business Terms and Commerce Policy. You are responsible for complying with WhatsApp's messaging policies, including obtaining necessary opt-ins from recipients.

5.2 SMS and Voice

SMS and voice services are subject to applicable telecommunications regulations. You must comply with all applicable laws regarding commercial messaging, including obtaining consent before sending marketing messages.

5.3 Email

Email services must be used in compliance with CAN-SPAM, GDPR, and other applicable email marketing laws. You must provide recipients with a way to unsubscribe from marketing communications.

6. Data Ownership and Intellectual Property

6.1 Your Data

You retain all rights to your business data, customer data, and content uploaded to the Lynxbe Platform. We do not claim ownership of your data. You grant us a limited license to use your data solely to provide and improve the Services.

6.2 Platform Intellectual Property

The Lynxbe Platform, including its software, design, features, documentation, and branding, is the intellectual property of Lynxbe Ltd. You may not copy, modify, distribute, or create derivative works of the platform without our written permission.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Services, we may use them without any obligation to compensate you.

7. Subscription and Payments

7.1 Plans and Pricing

The Lynxbe Platform is offered under various subscription plans. Pricing and plan details are available upon request or on our website. We reserve the right to modify pricing with 30 days' advance notice.

7.2 Payment Terms

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We may suspend access for accounts with overdue payments
  • You are responsible for all applicable taxes

7.3 Free Trial

We may offer free trial periods. At the end of the trial, your account may be converted to a paid subscription or limited to free-tier features.

8. Privacy and Data Protection

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to our data practices as described in the Privacy Policy.

9. Multi-Tenant Architecture

The Lynxbe Platform operates as a multi-tenant system. Your organization's data is logically isolated from other organizations. Business administrators are responsible for configuring appropriate access controls and permissions within their workspace.

10. Service Availability

10.1 Uptime

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible.

10.2 Modifications

We may modify, update, or discontinue features of the Services at any time. Material changes will be communicated to users in advance.

11. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYNXBE LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold Lynxbe Ltd harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

14. Termination

14.1 By You

You may terminate your account at any time by contacting us. Upon termination, your access to the Services will cease, and your data will be handled in accordance with our Privacy Policy.

14.2 By Us

We may suspend or terminate your access to the Services if you violate these Terms, engage in fraudulent or illegal activity, or fail to pay subscription fees. We will provide notice when reasonably possible.

14.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. We will retain your data for 90 days, during which you may request data export. After 90 days, data will be permanently deleted.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Israel. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Tel Aviv-Jaffa, Israel.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting a notice in the app, sending an email to account administrators, or updating the "Last Updated" date. Continued use of the Services after changes constitutes acceptance of the updated Terms.

17. General Provisions

  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations freely.
  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Lynxbe Ltd regarding the Services.
